Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Virtual Coach basketball application, website and related services (collectively, the “Service”) provided by Virtual Coach, Inc. (“Virtual Coach”, “we”, “us” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You may use the Service only if you are at least the age of majority in your jurisdiction and able to form a binding contract with Virtual Coach. If you are using the Service on behalf of a basketball program or other organization, you represent that you have authority to bind that organization to these Terms.

2. Health & Safety Notice

Virtual Coach provides basketball training guidance, not medical advice. We are not a medical provider, and the Service is not intended to diagnose, treat, cure or prevent any disease or injury. Always consult a qualified healthcare professional before starting any new training program, and stop immediately if you experience pain, dizziness or shortness of breath.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or security issue. We reserve the right to suspend or terminate accounts that violate these Terms.

4. License to Use the Service

Subject to your compliance with these Terms, Virtual Coach grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal basketball development or internal program purposes. You may not:

You may provide information, feedback, training data, media or other content in connection with the Service (“User Content”). You retain ownership of your User Content. You grant Virtual Coach a worldwide, non-exclusive, royalty-free license to use, reproduce, modify and create derivative works from your User Content as necessary to operate, maintain, improve and provide the basketball-focused Service.

You are responsible for ensuring that your User Content does not infringe the rights of any third party and does not include unlawful, offensive or abusive material.

6. Beta & Early Access Features

From time to time we may make pre-release or experimental features available as part of the Service. These features are provided “as is” for evaluation purposes only, may contain bugs, and may be modified or discontinued at any time.

7. Fees & Subscriptions

We may offer free and paid tiers of the Service. Where fees apply, you agree to provide accurate billing information and authorize us or our payment processor to charge all applicable fees and taxes. Unless otherwise stated, subscriptions automatically renew at the end of each billing period until cancelled.

8. Privacy

Our Privacy Notice explains how we collect, use and protect your personal information when you use the Service. By using the Service, you consent to our handling of data as described in the Privacy Notice.

9. Intellectual Property

Virtual Coach and its licensors own all rights, title and interest in and to the Service, including all software, algorithms, visual identity, logos, graphics and content, except for User Content. These elements are protected by copyright, trademark and other laws. No rights are granted except as expressly set out in these Terms.

10. Third-Party Services

The Service may integrate with or link to third-party platforms (for example, app stores or analytics tools). Your use of those platforms is subject to their own terms and privacy policies, which we do not control.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Virtual Coach disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement and course of dealing.

12. Limitation of Liability

To the maximum extent permitted by law, Virtual Coach and its officers, directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Service. Our total liability for any claim arising under these Terms will not exceed the greater of (a) the amounts you paid to use the Service in the six months preceding the claim or (b) one hundred U.S. dollars (US $100).

13. Indemnification

You agree to indemnify and hold Virtual Coach harmless from any claims, losses, damages, liabilities and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the basketball Service or violation of these Terms.

14. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. When we make material changes, we will update the “Last updated” date above and may provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a way that could harm us or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability and indemnification) will continue to apply.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which Virtual Coach is incorporated, without regard to conflict of law principles. Any disputes will be resolved exclusively in the courts located in that jurisdiction, unless applicable law requires a different forum.
